Referral Program Terms & Conditions
The Alpha Impact Referral Program Agreement (‘Referral Program’) is entered into by Alpha Impact Pte. Ltd. (‘Alpha Impact’) and the referring party executing this Agreement (‘Referrer’). This Agreement governs the Referrer’s participation in the Alpha Impact Referral Program described herein (the ‘Program’). You represent and warrant that: (i) you have full legal authority to enter into this Agreement, (ii) you have read and understood the Agreement, (iii) you agree to the terms of this Agreement, and (iv) your participation in this Referral Program does not contravene any regulations or laws in your jurisdiction. If you do not have the legal authority to enter into this Agreement or do not agree to these terms, please do not join the Program.
This Agreement is effective between the Referrer and Alpha Impact as of the date of participation in the program.
Definitions
- ‘Custom URL’: Alpha Impact will provide the Referrer with a unique URL corresponding to the Referrer’s Program account. This link will also be used by the Referee when signing up with the Alpha Impact platform.
- ‘Referee’: The Referee refers to an eligible new customer lead for the direct online sign-up to Alpha Impact who completes the conditions as stated below, excluding Ineligible Referees.
- Program Overview: In compliance with this Agreement, the Referrer will promote the Services only to the Referee in the crypto legal Territory. The Referrer will not market the Services to any Ineligible Referee.
Distribution of the Custom URL and Incentives
The Referrer will use best efforts to distribute the Custom URL and Incentives: (a) only to eligible Referees; and (b) only after both Referrer and Referee have completed the tasks stated below within the application at app.alphaimpact.fi. All marketing material (including, without limitation, the text of email distributions, if any) must be (i) strictly consistent with any Program instructions provided by Alpha Impact and (ii) compliant with the terms and conditions of this Agreement and all applicable marketing, privacy, and data protection laws and governmental regulations.
Termination and modification of terms
Alpha Impact may at any time and in its sole discretion: (i) modify or update the terms of, including but not limited to, the Program, this Agreement, Incentives (and their governing terms and conditions) and will make such modified or updated terms available in writing; or (ii) revoke a Referrer’s or Referee’s account and/or terminate the Referrer’s or Referee’s participation in the Program in its entirety.
Payment
- Referral Reward: Alpha Impact will pay the Referrer and the Referee a one-time Referral Reward, resulting in a Valid Transaction that will be paid out in 2500 FOLO Tokens in Balance with no limit on the number of users per calendar year. A Valid Transaction will only take place when the Referrer: (a) registers with Alpha Impact and connects a valid Binance, KuCoin, or Paper portfolio to their account; (b) monetizes their account; and (c) sets their Public Portfolio as Auto-Copyable. These steps must be completed before the Referee begins their sign-up process. Failure to complete these tasks by the Referrer will prevent the Referee from completing some of their required tasks. Following this, the Referee must: (a) not have an existing account with Alpha Impact; (b) register online with Alpha Impact using the Custom URL associated with the Referrer’s account; (c) link a valid portfolio for the purchase of Services; (d) Auto-Copy the Referrer’s auto-copyable Public Portfolio; and (f) complete these tasks during the Referrer’s period of participation in the Program. Alpha Impact reserves the right, at its sole discretion, to prospectively increase or decrease the Referral Reward amounts. Such changes will be communicated through written notice, which may include email or other electronic communication, or by updating this Agreement and/or any applicable Program Guide. Alpha Impact reserves the right, at its sole discretion, to withhold any Referral Reward from both parties if it determines that their actions are inconsistent with the intent of this Program.
- Incentives: Alpha Impact may elect to provide the Referrer with Incentives to offer its Referee from time to time. Use of any applicable Incentives will be subject to the governing terms and conditions, as provided by Alpha Impact.
- Payment Process: To receive the Referral Rewards, both the Referrer and the Referee must: (a) have valid accounts with Alpha Impact; (b) complete the required steps as detailed in number 1 above; and (c) maintain their accounts on an ongoing basis. Alpha Impact will pay the Referrer and Referee 2500 FOLO Tokens, which will be deposited to their respective accounts as a balance. This balance can be redeemed on the Alpha Impact platform to pay for fees, subscriptions, and other payables as made available on the platform from time to time. The balance received as compensation herein can only be used on the Alpha Impact platform and may be withdrawn, subject to minimum withdrawal requirements. Referral Rewards will be issued immediately to the in-app Wallets of the Referrer and Referee upon the successful completion of all required steps. Additional terms may apply regarding the validity and usage of the FOLO balance. The Referrer and Referee are solely responsible for ensuring that their participation in this program complies with all relevant regulations and laws. The Referrer and Referee acknowledge that Alpha Impact has not provided any tax, legal, compliance, or regulatory advice. Both parties are advised to consider these risks, including consulting expert advice, before participating in this program. Alpha Impact will not be responsible for any liability faced by the Referrer or Referee due to their participation in this program.
- Responsibility for Taxes: The Referrer and Referee are responsible for all taxes (if any) associated with the referrals. All Referral Rewards provided by Alpha Impact to both parties in connection with the referrals will be considered inclusive of tax (if applicable) and will not be adjusted. If Alpha Impact is obligated to withhold any taxes from its payments to the Referrer and Referee, Alpha Impact will notify both parties and will make the payments net of the withheld amounts.
- Authority to Refuse or Disqualify: Alpha Impact may refuse or disqualify any participation in the referral program, in whole or in part, at any time and for any reason. Multiple users for one trader will result in disqualification from the referral program and/or Alpha Impact platform. Alpha Impact reserves the right to disqualify rewards that are deemed to be gamification, program manipulation, or self-dealing.
- Modification of Details: Alpha Impact retains full authority to modify the details of the Program at its sole discretion, including but not limited to the duration or prizes.
Indemnification
The Referrer and Referee agree to defend, indemnify, and hold harmless Alpha Impact, its agents, affiliates, and licensors from any third-party claim or liability arising from: (a) the Referrer or Referee’s participation in the Program; (b) the Referrer or Referee’s website(s), Brand Features, and Alpha Impact’s use of any parties’ content (provided that such use complies with the requirements of the Agreement); and (c) the Referrer or Referee’s breach of the Agreement.
